Terms of Service
These terms govern your access to and use of the MAX CCS website and platform.

1. Agreement to terms
By accessing our website or using the MAX CCS platform (the "Services"), you agree to these Terms of Service. If you use the Services on behalf of an organisation, you agree on its behalf and confirm you have authority to do so. Where a separate signed agreement or order form exists between you and MAX CCS, that agreement governs and prevails over these terms to the extent of any conflict.
2. The Services
MAX CCS provides construction and contracting ERP software, powered by Zimpl, on a subscription basis. We may add, change or discontinue features as the product evolves. The intelligence layer provides insights and recommendations to support your decisions; it does not replace your professional judgement, and you remain responsible for the decisions you make.
3. Accounts and security
- You are responsible for the accuracy of your account details and for maintaining the confidentiality of your credentials;
- You are responsible for activity that occurs under your accounts;
- You must notify us promptly of any unauthorised use or security concern.
4. Acceptable use
You agree not to misuse the Services, including by attempting to gain unauthorised access, disrupting the Services, reverse engineering the software, or using the Services unlawfully or in breach of third-party rights.
5. Your data
As between you and MAX CCS, you own the data your organisation enters into the platform ("Customer Content"). You grant us the rights necessary to host and process Customer Content to provide and support the Services. We process personal information in line with our Privacy Policy. You are responsible for having the necessary rights and permissions for the Customer Content you upload.
6. Fees and payment
Fees are as set out in your order form or quote. Pricing depends on the modules, companies and users you select, as described on our pricing page. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for.
7. Intellectual property
MAX CCS and its licensors own all rights in the Services, including the software, the Zimpl intelligence layer, and all related intellectual property. These terms do not grant you any rights in the Services except the limited right to use them under your subscription.
8. Third-party services
The Services may integrate with third-party products. Your use of those products is governed by their own terms, and we are not responsible for them.
9. Warranties and disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and we disclaim all other warranties to the fullest extent permitted by law.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or for loss of profit, revenue or data. Nothing in these terms limits liability that cannot be limited by law. Any other limitation or cap on liability will be as set out in your signed agreement or order form with us.
11. Term and termination
These terms apply while you use the Services. We may suspend or terminate access for material breach or where required by law. On termination, your right to use the Services ends; provisions that by their nature should survive will survive.
12. Governing law
These terms are governed by the laws of the Kingdom of Bahrain, and the courts of Bahrain will have jurisdiction, unless your signed agreement specifies otherwise.
13. Changes to these terms
We may update these terms from time to time. We will post the updated version here and revise the "last updated" date above. Continued use of the Services after changes take effect constitutes acceptance.
